Occasionally, it is appropriate to consider selling a business. Objectives can include providing shareholders with liquidity, redeploying capital from the sale of a non-strategic business, resolving succession issues or transitioning a business to a new owner. We develop an in depth understanding our client's business and objectives, understand the state of the capital markets, and tailor our advice and the divestiture process to achieve optimal results.


Delta Capital first undertakes an in-depth assessment of the business' strategy, operational and financial plans, market environment, competitive environment, operating and managerial strengths and opportunities. Using sophisticated modeling and valuation techniques, we value the business. Building on this work, we advise on and recommend the divesture process best suited to meeting our client's objectives.


Using the knowledge we gain from our assessment above, Delta Capital identifies and qualifies prospective purchasers, and advises as to the preferred transaction structure and negotiating strategy. We also prepare the confidential information memorandum and marketing materials and assemble the information required for due diligence


Delta Capital contacts prospective purchasers as approved by the client, on a confidential basis, to determine the extent of their interest and confirm their capacity to acquire our client's business. Typically, we then solicit expressions of interest in the business. We evaluate expressions of interest received and recommend potential purchasers that will proceed to meet management and continue their due diligence. Following this we receive and assess letters of intent and select the preferred buyer. We advise on the negotiation strategy and lead the negotiations resulting in the execution of a purchase and sale agreement with the preferred buyer.


Delta Capital advises on the terms and conditions of the divestiture, assists with the on-going negotiation of the documentation and agreements and assists with the closing of the transaction.
